IIRC, the terms of the EULA state that a license used as an upgrade cannot be used to run the previous product. That is, if I u/g my CS 3 to CS 4, I can't transfer ownership of CS 3 to you. The ownership is for ONE product which was upgraded. I don't know if Adobe enforce this, though.

I had a friend who bought a full price (small discount) XP from Amazon. It failed to verify. He consulted me. It was a pure pirate version perfect in its counterfeit look including hologram. He is out the money although I suggested he seek redress through Amazon. Amazon was not the vendor but the vendor's agent.
