Yes it will work. If your running Vista 64, I believe it will install under C/Program files (x86)/ which is specifically for 32 bit. I am using it on Windows 7 beta 64 bit (intel Q9550, 4 gb ram) with no problems. In fact its been lightning fast compared to my old 32 bit laptop.
